What are the difficulties that foreign investors have to face when conducting M&A in Vietnamese state-owned enterprises?

On October 2, 2019, the seminar named "How to identify and solve the M&A transaction of foreign investors in Vietnamese state-owned enterprises?" was held at the headquarter of M&A Times (Ho Chi Minh City).

This event aims to help foreign investors have a sharp and clear understanding of the M&A market in Vietnam, and become more confident and sophisticated when conducting M&A in Vietnamese state-owned enterprises. Especially, Keynote speaker Truong Trong Hieu - Master of Law, Post Doctoral Fellow of Law in Japan had many beneficial sharings with attendees to identify and solve the M&A investment matrix focusing on SME. Thereby, empowering foreign investors to make M&A transactions in Vietnamese State-owned companies carefully and successfully.

According to Mr. Truong Trong Hieu, nowadays, there are more foreign investors looking to the Vietnam market to conduct M&A (mergers and acquisitions) as a general trend. The main reason is that the Vietnamese government is reconstructing and innovating the process of reforming state-owned enterprises. This creates attraction to oversea investors and brings them a lot of great opportunities in the Vietnamese M&A field.

Besides investment opportunities, they also faced many difficulties when coming to approach Vietnamese state-owned enterprises to conduct M&A. For instance, they are not familiar with the Vietnamese legal regulations and characteristics of business administration in Vietnam. Especially, Vietnamese State-owned enterprises. Also, there are some common administrative and legal constraints in the Vietnamese market in general. Another issue that may also cause concern for foreign businesses is the feasibility of evaluation and appraisal of Vietnamese State-owned businesses' financial records.

To face and overcome these obstacles, said Mr. Truong Trong Hieu: “Foreign investors need to have time to approach Vietnamese State-owned companies, penetrate the legal and political environment in Vietnamese M&A activities. In additional to shorten and provide a safer and more secure solution in deciding to conduct M&A transactions, they should choose M&A consulting services from professional and trustworthy firms that can support them solve these difficulties above legally and approach the target businesses gradually in Vietnamese M&A market.”
